Incorporation
A private limited WOS is incorporated through the MCA's SPICe+ (INC-32) integrated form, which bundles name reservation, the Memorandum and Articles of Association, and PAN and TAN issuance into a single filing. Once approved, the Certificate of Incorporation, PAN, and TAN typically arrive together.
Reporting the investment to the RBI
The moment the parent's share subscription is allotted, the clock starts on FEMA reporting. The company must register on the RBI's FIRMS portal and file Form FC-GPR (foreign currency, gross provisional return) within 30 days of allotment, reporting the fresh issue of shares to a person resident outside India. All figures in the filing, share count, valuation, and bank remittance, must match the FIRC, the valuation certificate, and the board resolution exactly; mismatches are the most common cause of an AD bank query. Miss the 30-day window and the company owes a Late Submission Fee under RBI's prescribed schedule, avoidable, but only by treating this as a hard deadline from day one, not an afterthought once the bank account is open.
Statutory registrations before day one
- Bank account opening with an Authorised Dealer (AD) bank, with full KYC on the parent entity
- GST registration, if the GCC's activities require it
- Provident Fund (PF) and Employee State Insurance (ESI) registration, ahead of the first hire
- Professional Tax and Shops & Establishments registration, state-specific to wherever the entity is registered
- Import Export Code (IEC), if the entity will import equipment or export services in its own right
